14. Choice of Law and Venue
These Terms and Conditions are entered into in the state of Maryland and shall be governed by and construed in accordance with the laws of the state of Maryland, exclusive of its choice of law rules. Each party to these Terms and Conditions submits to the exclusive jurisdiction of the state courts sitting in Howard County, Maryland and the federal courts of the District of Maryland, and waives any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce these Terms and Conditions, the prevailing party will be entitled to costs and attorneys’ fees. In the event that any of the Terms and Conditions are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect. Any cause of action or claim you may have with respect to your use of the Site must be commenced within one (1) year after the claim or cause of action arises. xG Health’s failure to insist upon or enforce strict performance of any provision of these Terms and Conditions shall not be construed as a waiver of any provision or right.
You agree to indemnify, defend and hold harmless xG Health, its affiliates, officers, directors, employees, agents, independent contractors, and suppliers (collectively the “Service Providers”) from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms and Conditions or any activity related to your use of xG Health’s Site or account (including negligent or wrongful conduct) by you or any other person accessing the Site using your account or password.
16. Third-Party Rights
The provisions of paragraphs 7 (Waiver, Release, and Limitation of Liability) and 15 (Indemnification) are for the benefit of xG Health and its officers, directors, employees, agents, independent contractors, and suppliers. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
17. Term; Termination
This Agreement shall commence upon your accessing this Site. xG Health may terminate this Agreement without prior notice at any time for any reason, including but not limited to personal account access to any xG Health services and applications due to extended periods of inactivity or upon notification of your death. Access to services and accounts shall not be transferable to a third party. The provisions of the Disclaimer set forth above and of paragraphs 14 (Choice of Law and Venue), 15 (Indemnification), and 16 (Third-Party Rights) shall survive any termination of this Agreement.
xG Health may assign its rights and duties under this Agreement to any party at any time without notice to you.
xG Health may deliver notice to you under this Agreement by means of electronic mail, a general notice on the Site, or by written communication delivered by first class U.S. mail to your address on record in xG Health’s account information.
20. Entire Agreement
These Terms and Conditions constitute the entire agreement between xG Health and you pertaining to the subject matter hereof. In its sole discretion, xG Health may, from time to time, revise these Terms and Conditions by updating this posting. You should, therefore, periodically visit this page to review the current Terms and Conditions, so you are aware of any such revisions to which you are bound. Certain provisions of these Terms and Conditions may be superseded by expressly designated legal notices or terms located on particular pages within this Site. Chief Technology Officer Mike Bertrand is a seasoned software executive with nearly three decades of experience leading the design and development of enterprise healthcare software solutions for hospitals, health systems and healthcare advisory firms.
Before joining xG Health, Mike was vice president of product development for HealthWyse, a leading provider of software solutions for the home healthcare industry. While at HealthWyse, he built and managed a highly regarded development group that was responsible for designing and delivering the leading mobile product for home healthcare professionals.
Previously, Mike spent more than eight years at PatientKeeper, a provider of EHR application integration platforms. As vice president of software development, he led the design and delivery of a large portion of the PatientKeeper product suite. Most notably he spearheaded the design and delivery of PatientKeeper’s computerized physician order entry (CPOE) application, which was voted “Best in KLAS” by KLAS, a leading healthcare research and insights firm. Before joining PatientKeeper, Mike also served as the director of software development for McKesson Corp. and as a software consultant at the Dana-Farber Cancer Institute.
Mike earned his bachelor’s degree in computer science from Westfield State University in Westfield, Massachusetts.

Before joining xG Health, Andrew was vice president of sales for population health and risk management solutions at McKesson. He came to McKesson through acquisition of MedVentive, an early population health vendor. Before MedVentive, he served as vice president of enterprise solutions development at MedAssets. He is a past president of the Georgia chapter of HIMSS, and he has held strategy and planning positions at PricewaterhouseCoopers and Orlando Health.
Andrew has an MBA and a Master’s of Health Science from the University of Florida Warrington, College of Business, and a Bachelor of Arts degree in Psychology from Rollins College.

Earl P. Steinberg, MD, MPP, is a nationally recognized expert in healthcare quality improvement and serves as xG Health’s chief executive officer. Earl also is an adjunct professor of Medicine and of Health Policy and Management at Johns Hopkins University and a member of Blue Cross/Blue Shield Association’s National Medical Advisory Panel.
Before joining xG Health, Earl was executive vice president of Innovation & Dissemination, and chief, Healthcare Solutions Enterprise at Geisinger Health System.
Before joining Geisinger, he was senior vice president for Clinical Strategy, Quality & Outcomes at WellPoint, Inc., the largest commercial health insurer by membership in the US, and president and CEO of Resolution Health Inc. (RHI), a leading healthcare data analysis company that provides innovative quality improvement and cost reduction services to health plans, employers, pharmacy benefit managers, and disease management companies.
Before joining RHI, Earl spent six years as vice president of Covance Health Economics and Outcomes Services Inc., director of its Quality Assessment and Improvement Systems Division, and co-director of its Outcomes Studies Group. He also spent 12 years on the full-time faculty at Johns Hopkins University, where he was professor of Medicine and of Health Policy and Management and director of the Johns Hopkins Program for Medical Technology and Practice Assessment, and four years on the Federal Physician Payment Review Commission. He co-chaired the Institute of Medicine’s panel on Standards for Development of Trustworthy Practice Guidelines.
Earl has received many awards, including the Henry J. Kaiser Family Foundation Faculty Scholar Award in General Internal Medicine (1984), the “Outstanding Young Investigator” Award from the Association for Health Services Research (1988), and a Special Presidential Visionary Award from the National Kidney Foundation (NFK) (2004) for his work as the scientific director of the NKF’s landmark Kidney Disease Outcomes and Quality Initiative, which produced more than 250 clinical practice guidelines for management of patients with end-stage renal disease. He also is a fellow of both the American College of Physicians and AcademyHealth, and he has published more than 125 articles in peer-reviewed journals.
Earl received his AB from Harvard College (summa cum laude), his medical degree from Harvard Medical School, and a Master of Public Policy from the Kennedy School of Government. He performed his residency training in internal medicine at Massachusetts General Hospital.
